General Terms and Conditions of Sale

These General Terms and Conditions of Sale govern the distance purchase of products and services made through the e-commerce website store.proxel.com, owned by Proxel S.r.l. (Via Val Della Torre 39, 10149 Turin - Italy, VAT / Tax ID IT01067040095).

1. Scope of Application and Parties

These terms and conditions apply to all sales concluded on store.proxel.com worldwide.

• Consumer Customer (B2C): any natural person acting for purposes outside their trade, business, craft, or profession (purchases made without specifying a VAT number / Tax ID).
• Business Customer (B2B): any natural or legal person acting in the exercise of their trade, business, craft, or profession (purchases made with a specified VAT number / Tax ID).

2. Prices and Product Information

All prices published on the website are expressed in Euros (€) and are inclusive of VAT (unless otherwise specified for reserved B2B portal access or non-EU sales subject to tax exemption regimes). Shipping costs and any additional fees are clearly displayed prior to order confirmation. Proxel S.r.l. reserves the right to modify prices at any time, provided that the price charged will be the one indicated at the time the order is placed.

3. Conclusion of Contract and Order Processing

The submission of an order by the Customer constitutes a binding contractual offer to purchase. The sale contract is deemed concluded when Proxel S.r.l. sends an order confirmation via email or directly proceeds with order dispatch. Proxel S.r.l. reserves the right to cancel or refuse orders from users in the event of product unavailability or ongoing disputes.

4. Shipping, Delivery, and Transfer of Risk

Deliveries are carried out via express courier to the address provided by the Customer during the order process. Any storage costs resulting from the prolonged absence of the recipient or incorrect delivery details shall be borne by the Customer.

• For B2C Customers (Consumers): Pursuant to EU Directive 2011/83 and consumer protection laws, the risk of loss or damage to the goods passes to the consumer at the moment they (or a third party designated by them) acquire physical possession of the goods. If the package shows obvious external damage upon delivery, the Customer must accept the shipment with a "reasoned conditional acceptance" or refuse it, notifying Proxel S.r.l. promptly.
• For B2B Customers (Businesses): The goods travel at the risk and peril of the buyer from the moment they are handed over to the carrier at our warehouse.

5. Right of Withdrawal (B2C Customers / Consumers Only)

Pursuant to EU Directive 2011/83 and applicable consumer legislation, Consumer Customers have the right to withdraw from the purchase agreement, without giving any reason and without penalty, within 14 (fourteen) calendar days from the date on which they acquire physical possession of the products.

5.1. Procedure for exercising the right of withdrawal:

To exercise the right of withdrawal, the Customer must inform Proxel S.r.l. of their decision by sending an explicit declaration by email to This email address is being protected from spambots. You need JavaScript enabled to view it. before the expiry of the 14-day period, stating the order number, the items being returned, and their bank/PayPal details for the refund.

5.2. Return of goods and conditions:

In the event of withdrawal, the Customer must send the products back to the headquarters of Proxel S.r.l. (Via Val Della Torre 39, 10149 Turin - Italy) within 14 days of communicating their withdrawal decision. The direct costs of returning the goods shall be borne entirely by the Customer.

The product must be returned intact, in its original packaging complete with all its parts (accessories, cables, manuals, unbroken seals/fasteners), and free from signs of wear, installation, or tampering. The Customer is liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods.

5.3. Refund timeline and methods:

Upon receipt of the goods and verification of the return's integrity, Proxel S.r.l. will refund the amount paid for the products within 14 days. The refund will be processed using the same payment method used by the Customer for the initial transaction, unless expressly agreed otherwise.

5.4. Exclusion of B2B withdrawal:

The right of withdrawal does not apply to purchases made by B2B Customers (companies, professionals, or holders of a VAT number / Tax ID).

6. Legal Warranties and Technical Assistance

All products sold by Proxel S.r.l. are covered by the legal warranty for conformity defects and manufacturing faults (36 months for B2C Customers; 12 months for B2B Customers). The detailed conditions, technical test procedures, exclusions for improper installation/wear, and shipping cost allocations under warranty are fully governed in the dedicated section Product Warranty and Technical Assistance, which forms an integral part of these Terms and Conditions of Sale.

7. Personal Data Processing (Privacy)

Customer personal data is collected and processed by Proxel S.r.l. in full compliance with the European General Data Protection Regulation (GDPR EU 2016/679). For complete details regarding data processing, rights, and cookie usage, please refer to our Privacy & Cookie Policy section.

8. Applicable Law and Jurisdiction

These General Terms and Conditions of Sale are governed by Italian law.

• For disputes involving B2C Customers (Consumers) residing in the European Union, jurisdiction belongs to the court of the place of residence or domicile of the consumer. European consumers may also use the European Commission's ODR platform for out-of-court online dispute resolution.
• For any dispute arising from contracts concluded with B2B Customers (Businesses), exclusive jurisdiction is assigned to the Court of Turin (Italy).
